SmartAuger Books End User License Agreement
This agreement covers the use of SmartAuger Books ("Books"), an internal business application operated by SmartAuger, Inc. ("SmartAuger"). By signing in to or using Books, you agree to these terms. If you do not agree, do not use Books.
1. Who may use Books
Books is for SmartAuger's internal use. You may use it only if SmartAuger has authorized you, and only for SmartAuger's business. It is not licensed or offered to the public.
2. License
SmartAuger grants you a limited, revocable, non-exclusive, non-transferable right to use Books for your work for SmartAuger, within the permissions assigned to you. SmartAuger owns Books and all rights in it. No other rights are granted.
3. Your account
- Use only your own account, and keep your sign-in details to yourself.
- Use only the business units and functions you have been given access to. Do not try to get around access controls.
- Tell SmartAuger promptly if you believe your account has been used by someone else.
4. Acceptable use
You agree not to copy, sell or share Books or its data outside SmartAuger without authorization; not to reverse engineer it or interfere with its operation; and not to use it to enter records you know to be false or to break any law.
5. QuickBooks Online
Books connects to SmartAuger's QuickBooks Online company through Intuit's API. Records you create or change in Books may be written to that QuickBooks company, where they become part of SmartAuger's accounting records. You are responsible for the accuracy of what you enter. Books is not an Intuit product and is not endorsed by Intuit. QuickBooks is a trademark of Intuit Inc., and use of QuickBooks Online is governed by Intuit's own terms.
6. Confidentiality
The financial, customer and vendor information in Books is confidential to SmartAuger. Use it only for your work for SmartAuger and do not disclose it to anyone who is not authorized to see it. This obligation continues after your access ends.
7. Monitoring and privacy
Actions taken in Books are logged with the user who took them. How Books handles information is described in the SmartAuger Books Privacy Policy.
8. Changes and availability
SmartAuger may change, suspend or discontinue Books, or change these terms, at any time. The current terms are posted at this address. Continued use after a change means you accept it.
9. Ending access
SmartAuger may suspend or end your access at any time, including when your work for SmartAuger ends or if you do not follow these terms.
10. No warranty
Books is provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent the law allows. Figures shown in Books are drawn from SmartAuger's accounting records and may be incomplete or out of date until the next update from QuickBooks. Books does not provide accounting, tax or legal advice.
11. Limitation of liability
To the fullest extent the law allows, SmartAuger is not liable to users for indirect, incidental, special or consequential damages arising from the use of Books. Nothing in this agreement changes the terms of any employment or contractor agreement between you and SmartAuger; if they conflict, that agreement controls.
12. Governing law
This agreement is governed by the laws of the State of Ohio, without regard to conflict-of-law rules.
